Terms of Service

1. Agreement to Terms

By accessing or using Q314 AI ("the Platform"), operated by Q314 AI Ltd ("Q314", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

We reserve the right to modify these Terms at any time. Material changes will be notified via the Platform or email. Continued use after changes constitutes acceptance.

2. Description of Service

Q314 is an AI-powered quantitative trading platform that enables users to:

• Build, backtest, and deploy automated trading strategies using a visual node-based editor.
• Execute paper trading with simulated portfolios.
• Generate AI-driven equity research and multi-factor analysis.
• Monitor real-time market data and portfolio performance.
• Connect to third-party brokers for live trading (where available).

3. Eligibility

You must be at least 18 years old to use the Platform. By creating an account, you represent that you are of legal age and have the legal capacity to enter into these Terms. The Platform is not available to residents of jurisdictions where algorithmic trading platforms are prohibited.

4. Accounts & Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• Notify us immediately of any unauthorised use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions & Payments

5.1 Subscription Plans

The Platform offers tiered subscription plans (Beta, Professional, Enterprise) with varying features, strategy limits, and AI token allocations. Plan details and pricing are displayed on the Platform and may change with notice.

5.2 Billing

• Payments are processed securely through Stripe.
• Subscriptions renew automatically at the end of each billing period.
• You may cancel your subscription at any time through the billing portal.
• Cancellation takes effect at the end of the current billing period.

5.3 Refunds

Subscription fees are generally non-refundable. Refund requests for exceptional circumstances can be submitted to khalil@q314.ai and will be reviewed on a case-by-case basis.

5.4 Token Purchases

Additional AI tokens purchased are non-refundable and expire at the end of the billing period in which they were purchased.

6. Acceptable Use

You agree NOT to:

• Use the Platform for any illegal purpose or in violation of any applicable laws.
• Attempt to gain unauthorised access to the Platform, other accounts, or connected systems.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use automated scripts or bots to access the Platform outside of the provided API.
• Resell, sublicense, or redistribute Platform access or data.
• Manipulate or attempt to manipulate market data or trading execution.
• Upload malicious code, viruses, or harmful content.
• Harass, abuse, or harm other users.

7. Intellectual Property

• The Platform, its design, code, algorithms, and content are owned by Q314 AI Ltd and protected by intellectual property laws.
• You retain ownership of your trading strategies, configurations, and research data created on the Platform.
• You grant us a limited licence to process your data solely to provide the Platform services.
• AI-generated research and analysis outputs are provided for your personal use and are not guaranteed to be unique.

9. Limitation of Liability

To the maximum extent permitted by law:

• Q314 shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Q314 shall not be liable for any losses arising from trading decisions made using the Platform.
• Q314 shall not be liable for any losses due to service interruptions, data loss, or third-party service failures.
• Our total aggregate liability shall not exceed the amount you paid to Q314 in the 12 months preceding the claim.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service downtime, including missed trading opportunities or strategy execution failures.

11. Third-Party Services

The Platform integrates with third-party services including Stripe, Firebase, Polygon.io, OpenAI, and broker APIs. We are not responsible for the availability, accuracy, or performance of these services. Your use of third-party services is subject to their respective terms and policies.

12. Termination

• You may terminate your account at any time by contacting us or through the Platform settings.
• We may suspend or terminate your access immediately if you violate these Terms.
• Upon termination, your right to use the Platform ceases immediately.
• We may retain certain data as required by law or for legitimate business purposes.

13. Indemnification

You agree to indemnify and hold harmless Q314, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
